TERMS AND CONDITIONS
INVOICING AND PAYMENT
All ecommerce sales must be paid by credit card at time of sale. Visa, MasterCard and American Express payments are welcome.
To receive a credit for returned goods, the returns: (A) must be pre-authorized by an Ada Products Company Call Center Representative by calling
1-800-471-4411 (B) must be accompanied by the invoice (original or photocopy); (C) must include a statement why the merchandise is being returned; and (D) must be made within 90 days of the invoice date. Seller reserves the right to evaluate the age, quantity, kind and condition of any returned merchandise, which evaluation shall be final and shall govern the amount of credit issued. Exceptions: The following items are not returnable (1) Opened handpieces, small equipment and custom-ordered equipment (2) Special order items (products we do not ordinarily stock) (3) Personalized and imprinted items (4) Expired products (5) Items that cannot be returned to the manufacturer (6) Any items marked non-returnable. Seller further reserves the right to assess redressing charges for unsaleable merchandise or to deduct 25% of the price of returned merchandise or actual handling costs whichever is greater.
FAIR LABOR STANDARDS ACT
Seller warrants that all goods and services furnished hereunder have been produced in full compliance with all applicable laws and regulations, including
the applicable requirements of Section 6, 7 and 12 of the Fair Labor Standards Act, as amended, and of regulations and orders of the U.S. Department of Labor issued under Section 14 thereof. Seller shall also be in compliance with applicable requirements of Executive Order 11141 and 11246, as well as the Rehabilitation Act 1973, as amended.
In the event of war, fire, flood, strike, labor trouble, breakage of equipment, accident, act of governmental authority, acts of God, or other contingencies beyond the reasonable control of Seller, interfering with the production, procurement, supply or transportation of the goods covered by this contract,
or in the event of Seller’s inability to obtain, upon commercially practicable terms, and resources, materials or energy sources used in connection therewith, quantities so affected shall be eliminated or suspended, at Seller’s option, from the contract without liability, but the contract shall otherwise remain unaffected. Seller may, upon the occasion of any of the aforementioned contingencies, allocate its supply of such goods in any manner it deems fair
LIMITATIONS OF ACTIONS
In accordance with the Uniform Commercial Code the applicable Statue of Limitations is reduced from four (4) years to one (1) year after tender of delivery hereunder.
LIMITATION OF LIABILITY
This transaction is made upon the condition and agreement that there have been no representations or undertakings made by or on behalf of the manufacturer and/or seller, and that there are no guarantees or warranties, express, implied, in fact or by law of fitness or of merchantability other than those set forth herein or which manufacturer and/or seller may have expressly made in accordance with provisions of the federal food, drug and cosmetic act, as the same is or may be amended. Manufacturers and/or seller shall not otherwise be responsible, obligated or liable for any application or use of or to which the products delivered hereunder may be put, either singly or in combination with other products or ingredients. It is expressly understood and agreed that in no event shall the manufacturer and/or seller be liable for any incidental or consequential damages, howsoever arising. Manufacturers and/or seller’s liability and buyer’s remedies for any cause of action arising out of this transaction is expressly limited at buyer’s option to replacement of, or credit of the purchase price for, the goods with respect to which the damages are claimed.
SHIPPING & HANDLING
Actual freight & shipping charges will be added to all orders (Standard UPS Ground). Special shipping requirements, such as next day delivery, may be available, but as with standard shipments, special shipping charges will be applied at actual costs.
